1. Services

Corestack Agency provides web design, iOS app development, AI integration, and ongoing maintenance services. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Statement of Work (SOW) signed by both parties before any work begins.

2. Payment Terms

All project fees are split: 50% due upfront to begin work, 25% at midpoint approval, and 25% upon final delivery
Subscription plans are billed monthly in advance
Late payments accrue interest at 1.5% per month on the outstanding balance
Work will pause on any project with a payment overdue by more than 10 business days

3. Intellectual Property

Upon receipt of final payment, all custom work product created specifically for your project transfers to you. This includes designs, code, and content we produced for your engagement. Pre-existing tools, frameworks, templates, and components developed by Corestack Agency prior to your engagement remain the property of Corestack Agency, though you retain a perpetual license to use them as part of your deliverable.

4. Revisions and Scope Changes

Each project tier includes a defined number of revision rounds. Additional revisions beyond the included rounds are billed at $150 per hour. Any scope changes require a written change order agreed upon by both parties before additional work begins.

5. Cancellation and Kill Fee

If you cancel a project after work has begun, you owe 100% of all completed work to date plus 30% of the remaining contract value as a kill fee. The upfront deposit is non-refundable once work has started.

6. Client Responsibilities

You agree to:

Provide all required content, assets, and access credentials on the timeline agreed
Designate one decision-maker with final approval authority
Respond to feedback requests within 5 business days to avoid timeline delays
Ensure all content you provide does not infringe any third-party copyright or trademark

7. Limitation of Liability

To the maximum extent permitted by law, Corestack Agency is not liable for any indirect, incidental, special, or consequential damages arising from our services. Our total liability in any matter is limited to the fees you paid us for the specific engagement giving rise to the claim.

8. Indemnification

You agree to indemnify and hold harmless Corestack Agency from any claims, damages, or expenses (including legal fees) arising from content you provided, your use of the delivered work, or your violation of these terms.

9. Independent Contractor

Corestack Agency operates as an independent contractor. Nothing in these terms creates an employment, partnership, or joint venture relationship.

10. Governing Law

These terms are governed by the laws of the State of Missouri. Any disputes will be resolved in the courts of Boone County, Missouri.

11. Changes to These Terms

We may update these Terms of Service from time to time. The most current version will always be posted at this URL. Continued use of our website after changes constitutes acceptance of the updated terms.
